Boston Carbon Corporation Services - Funds

Boston Carbon Corporation (BCC) secures GHG emission Credits for its clients by passing them through the Approval & Accreditation Process run for them by Independent Accreditation Services (RW Beck) in the United States and by Acres International in Canada and then having them registered by Global Carbon Holdings LLC (GHC) in a Massachusetts Registry and Bank that GHC may also run for the Commonwealth.BCC will encourage its clients to bank their GHG Credits in the Boston Carbon Fund for future trading and transactions. There likely will be two types of Funds. The first type, a Hedgers vehicle, will consist of: utilities, energy companies, cement companies, process companies, auto and transportation companies. They will all participate by buying Credits to meet their exposures to mandated emission reductions.The Hedgers Vehicle (by GCH - Global Carbon Partners) will be an investment vehicle to be used by the above listed categories of industrial companies that have, may or will become subject to Greenhouse Gas (GHG) emissions regulations and receive mandated reductions.They will be known as 'Regulated Parties' and will face a potential future liability which will require regular "draws" to satisfy the regulatory obligations. Because of this, this vehic;le will be managed to provide a financial / pricing hedge against the market cost of Certified Emission Reduction Credits (CERCs), while providing regular liquidity opportunities to the Regulated Parties that have invested. This vehicle may be managed as a pooled fund or on a separate accouont basis.

The second category, 'Speculators', will invest for profit and return on an attractive asset class in an Investors Fund. They will include: funds, trusts, foundations, corporations and high net worth individuals. The Investors Fund will be a blind pool investment manged for maximum returns over a long term horizon (7 to 10 years).As above, this vehicle would be marketed to financial investors looking to participate in the profit potential of a new and growing asset class. There will be few or no lilquidity opportunities prior to full maturity of the investment. We anticipate the fund will have a defined life, similar to a closed-end hedge fund, with an orderly liquidation and return of invested capital and profits.

BCC plans to setup interfaces with international instititions such as: Prototype Carbon Fund (World Bank), Clean Development Mechanism Executive Board, Council of State Governments, Chicago Climate Exchange, Dansk Norsk Veritas, CPC of Russia and the CCCC of Kazakhstan. Global Carbon Partners of GCH will manage and operate the Boston Carbon Fund.
